End User License Agreement (EULA)

This End User License Agreement (hereinafter referred to as "EULA") is a legal agreement between you (either an individual or a single entity) and Siovue (hereinafter referred to as "Licensor") for the software product(s) identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (hereinafter referred to as "Software Product").

By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product.

1. Grant of License

1.1 The Software Product is licensed, not sold. Upon your acceptance of this EULA, the Licensor grants you a non-exclusive, non-transferable license to use the Software Product subject to the terms and conditions of this EULA.

1.2 You may install and use the Software Product on a single computer or device. If you have purchased a multi-user license, you may install and use the Software Product on the number of computers or devices specified in your purchase.

2. Restrictions

2.1 You may not reverse engineer, decompile, or disassemble the Software Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

2.2 You may not rent, lease, or lend the Software Product.

2.3 You may not sublicense, assign, or transfer the license or the Software Product except as expressly provided in this EULA.

3. Copyright

3.1 All title and copyrights in and to the Software Product (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software Product), and any copies of the Software Product are owned by the Licensor or its suppliers.

3.2 The Software Product is protected by copyright laws and international treaty provisions. Therefore, you must treat the Software Product like any other copyrighted material.

4. Limited Warranty

4.1 The Licensor warrants that the Software Product will perform substantially in accordance with the accompanying documentation for a period of thirty (30) days from the date of receipt.

4.2 To the maximum extent permitted by applicable law, the Licensor disclaims all other warranties, either express or implied, including, but not limited to implied warranties of merchantability and fitness for a particular purpose, with regard to the Software Product.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software Product.

6. Termination

Without prejudice to any other rights, the Licensor may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software Product and all of its component parts.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction where the Licensor is located.
